The Service of the Commission for the Protection of Competition has received a notification of a concentration, concerning the proposed acquisition of the share capital of Adfil NV, by Compagnie de Saint-Gobain S.A., via Starcin Holding France S.A.S.
Starcin Holding France S.A.S is a company duly registered under the laws of France, wholly owned subsidiary of Compagnie de Saint-Gobain SA. Compagnie de Saint-Gobain SA, is a company duly registered under the laws of France, with shares listed in the Paris Stock Exchange. Saint-Gobain with its subsidiaries, designs, develops and distributes solutions that improve the quality of living spaces, reduce the environmental impact of buildings and make life easier for its professional customers. Saint-Gobain offers a range of products and services for all sectors of the construction industry and its activities include: (i) construction and housing, (ii) building glass, (iii) gypsum, (iv) ceilings, (v) insulation, (vi) mortars and building chemicals, (vii) pipes and (viii) exterior products.
The target in this transaction is Adfil NV, a joint stock company duly registered under the laws of Belgium. Adfil NV is a Belgian group active in the development, production and marketing of synthetic fibers, a type of concrete reinforcement product that is structurally embedded into concrete before the concrete sets, to improve its strength and durability, without altering its chemical properties.
