Notification of a concentration concerning the acquisition of the share capital of Camelia Investment 1 Ltd, from investment funds that manage or advise affiliates of Blackstone Inc., via RLLMJ23 Bidco Ltd

The Service of the Commission for the Protection of Competition has received a notification of a concentration, concerning the proposed acquisition of the share capital of Camelia Investment 1 Ltd, by Blackstone Inc., via RLLMJ23 Bidco Ltd.

Blackstone Inc. is a global investment management firm, listed on the New York Stock Exchange. Specifically, Blackstone Inc. advises and manages funds in various asset including private equity, hedge fund solutions, real estate and debt assets. Since its establishment, Blackstone Inc. and its affiliates have completed transactions in a wide range of industries, including industrials, financial and business services, consumer and retail, technology, media and telecommunications, as well as healthcare. Each company in Blackstone Inc. investment portfolio is subject to separate management and financing and each has different investors (although investors from Blackstone Inc. different investment funds may overlap). Each Blackstone Inc. holding company has its own management board, which often includes representatives of Blackstone.

RLLMJ23 Bidco Ltd is a company duly registered under the laws of England and Wales, owned by Blackstone Inc. and created for the purposes of this merger.

The target in this transaction is Camelia Investment 1 Ltd, a company duly registered under the laws of England and Wales. Camelia Investment 1 Ltd is a global provider of government technology (govtech) software. Its solutions are designed to deliver organizational improvements to public sector entities and can be grouped into (i) financial management and payments, (ii) governance, risk and compliance, (iii) engagement and operations, (iv) workforce management, (v) workflow and automation and (vi) asset management.
