Notification of concentration between the companies China Merchants Holdings (International) Company Limited, China Merchants (Luxembourg) S.a.r.l. and Terminal Link S.A.S.

The Service of the Commission for the Protection of Competition received on behalf of China Merchants Holdings (International) Company Limited and CMA CGM S.A. notification of the proposed concentration according to Section 13 of the Control of Concentrations between Enterprises Law (Number 22(I)/99), concerning the purchase of share capital of Terminal Link S.A.S. by China Merchants Holdings (International) Company Limited through its subsidiary China Merchants (Luxembourg) S.a.r.l.

CMA CGM S.A., is the parent company of Terminal Link SAS, and is active, via a number of subsidiary companies. It is one of the largest companies, worldwide, active in container shipping services and offers complete logistics chain services, including maritime transport services, refrigerated transport, ancillary facilities at ports as well as the supply of chain management inland. It is also active in the provision of frequent transporting pallet loads services as well as cargo services.

Terminal Link SAS is a simplified limited liability company organized under the laws of France and is registered in Marseille. Terminal Link SAS is under the full control of CMA CGM SA. Terminal Link SAS is active in the provision of container terminal services through interests it holds in companies that operate terminals. The company mainly focuses its activities in the ports of France, Belgium, Malta and Ukraine as well as in the ports of the U.S., Syria, Abidjan, China, Korea and Vietnam

China Merchants Holdings (International) Company Limited is a public company, listed on the Hong Kong stock exchange and operates through a number of subsidiary and affiliates companies. Specifically, the company’s activities include the provision of loading, unloading and storage services to shipping companies and/or owners of goods that use ports. The company is considered an important investor and operator of ports in China and one of the largest operators of public ports in China, holding shares in fifteen terminals companies. The company’s subsidiary, China Merchants (Luxembourg) Sarl, was established especially for the acquisition of the share capital of the target company and does not perform any activities.
