The Service of the Commission for the Protection of Competition has received a notification of a concentration from Wilhelmsen Group and MPC Maritime Holding GmbH, concerning the creation of the jointly controlled company WASM Steamship Acquisition GmbH & Co. KG, which is a vehicle for the acquisition of the share capital of Zeaborn Ship Management GmbH & Cie. KG. The ultimate goal is to transfer from the said company the business activities of the Zeaborn TSM companies concerning technical management to WASM KG, which is already jointly controlled by the Wilhelmsen Group and MPC Maritime Holding GmbH and to Barber Ship Management Germany GmbH & Co. KG., which will be jointly controlled by the Wilhelmsen Group and MPC Maritime Holding GmbH. At the same time, companies Zeaborn Crew Management GmbH & Cie. KG, Zeaborn Ship Management (Cyprus) Limited, BestShip GmbH & Cie. KG and OceanCart GmbH & Cie. KG will be transferred from Zeaborn Ship Management GmbH & Cie. KG to the Wilhelmsen Group.

MPC Maritime Holding GmbH is a company duly registered under the laws of Germany, which together with its subsidiaries and associated companies is known as the MPC Group. MPC Group is active in ship management through the following ship management units: (a) commercial ship management for container ships, (b) commercial ship management for tankers and bulk carriers, (c) technical ship management for container ships, (d) technical ship management for bulkers and (e) asset and investment management for container ships, bulkers and tankers.
WASM KG is a limited liability partnership duly registered under the laws of Germany. It operates in the field of technical ship management for container ships and has container ships under management. Although WASM KG does not offer manning management services, it does have a manning department, which acts as an interface between the staffing manager and the ships' technical manager and provides crew-related support services to a manageable extent. The contractual relationship in the field of classical staffing management exists directly between the shipowner and the manning manager and therefore WASM KG does not subcontract crew management to the manning manager.
Barber Ship Management Germany GmbH & Co. KG is a limited liability partnership duly registered under the laws of Germany. It operates in the field of technical vessel management for tankers.
Zeaborn Ship Management GmbH & Cie. KG, a limited liability partnership registered under the laws of Germany, which is the parent entity of the Zeaborn group of companies. Zeaborn group of companies is a global technical ship manager offering staffing and performance services (digital services to improve ship performance).
Zeaborn Ship Management Tanker GmbH & Cie. KG, a limited liability company duly registered under the laws of Germany, active in the field of technical ship management for tankers.
Zeaborn Crew Management GmbH & Cie. KG, a limited liability company duly registered under the laws of Germany, active in the field of ship manning management.
Zeaborn Ship Management (Cyprus) Limited, a limited liability company duly registered under the laws of the Republic of Cyprus, operating in Cyprus in the provision of ship staffing and operational supply services.
BestShip GmbH & Cie. KG, a limited liability company duly registered under the laws of Germany, active in the field of ship performance management, which includes services such as the analysis of machinery performance, fuel consumption, oil consumption as well as monitoring the condition of the main engine or emissions.
OceanCart GmbH & Cie. KG, a limited liability company duly registered under the laws of Germany. The said company ensures the supply of supplies to the vessels managed by Zeaborn Ship Management GmbH & Cie. KG at an optimized cost, by acting as an agent providing access to various third party suppliers.
