The Commission for the Protection of Competition received a notification of a proposed concentration by Ferrero International S.A. in accordance with Section 13 of the Control of Concentrations between Enterprises Law (Number 22(I)/99). The transaction concerns the acquisition of the share capital of the newly created companies Newco Nat IT and Newco Nat TK, by Ferrero International S.A. The subsidiary companies of IF-Mariano Stelliferi S.P.A.: Stelliferi & Itavex S.P.A. and Stelliferi Findik, will transfer their businesses relating to the production and distribution of natural hazelnuts to the above newly created companies. Moreover, the transaction concerns the acquisition of the joint control of Newco SL by Ferrero International S.A. and IF-Mariano Stelliferi S.P.A., to which IF-Mariano Stelliferi S.P.A will transfer all its activities concerning semi-processed nuts.
Ferrero International S.A. is registered in accordance with the laws of Luxemburg and is the holding company of Ferrero Group. The Ferrero Group is active worldwide in the manufacturing and commercialization of confectionary (e.g. chocolate confectionery, sweet spreads).
Stelliferi & Itavex S.p.a. is registered in accordance with the laws of Italy. The company is active in the procurement of hazelnuts and in the commercialization of hazelnuts (including semi-processed products) as well as other nuts.
Stelliferi Findik is registered in accordance with the laws of Turkey. The company is active in the procurement of hazelnuts and in the commercialization of hazelnuts (including semi-processed products) as well as other nuts.
Newco Nat IT is a newly created company to which Stelliferi & Itavex S.p.a. will transfer the business regarding the production and distribution of hazelnuts.
Newco Nat ΤΚ is a newly created company to which Stelliferi Findik will transfer the business regarding the production and distribution of hazelnuts.
Newco Nat SL is a newly created company to which IF-Mariano Stelliferi S.P.A. and its subsidiary Stelliferi & Itavex S.P.A. will transfer the business regarding the semi processed nuts. Through the joint control of Newco Nat SL by Ferrero International S.A. and IF-Mariano Stelliferi S.P.A, the two latter will acquire the joint control of the following companies belonging to the Stelliferi Group: Stelliferi Findik, Long Life S.r.l., Silvarem International S.A. and Stelma S.r.l.
Long Life S.r.l. is registered in accordance with the laws of Italy and is active in manufacturing and commercialization of packaging.
Silvarem International S.A. is registered in accordance with the laws of France and is active in the commercialization of nuts.
Stelma S.r.l. is registered in accordance with the laws of Italy and is active in consultancy services such as business management, organization and plan.
