Notification of concentration regarding the acquisition of NutriSI Holding Ltd Company by Israel Corporation Ltd through its subsidiary company Amsterdam Fertilizers B.V

The Service of the Commission for the Protection of Competition announces that Amsterdam Fertilizers B.V Company, member of Israel Corporation Ltd Group of companies, notified the buyout of the 50% of the share capital of NutriSI Holdings N.V Company. It is noted that that Amsterdam Fertilizers B.V Company already possesses 50% of the share capital of NutriSI Holdings N.V. and by the completion of this merger will own 100%.

Amsterdam Fertilizers B.V Company is a company duly registered under the laws of Netherlands and indirectly belongs to Israel Chemicals Ltd. The said Company is active in the manufacturing of fertilizers for agricultural purposes. It also acts as a material and technical center for the phosphoric acid of its parent company Rotem Amfert Negev Ltd, which belongs to Israel Chemicals Ltd.

Israel Chemicals Ltd is a public company in Israel duly registered under the laws of Israel, listed in the Tel-Aviv stock exchange and is active in the market of mineral extraction, construction and production of raw materials and specifically phosphoric salt, construction and selling of fertilizers. The said Company is under the control of Israel Corporation Ltd, a public holding company of the group and is active in the market of mineral extraction, food, chemicals, petrochemicals and pharmaceuticals. Israel Corporation Ltd is the ultimate parent company in this transaction.

NutriSI Holdings N.V is a company duly registered under the laws of Belgium owned by 50% Amsterdam Fertilizers B.V and 50% Soquimich European Holding BV. NutriSI Holdings NV is a holding company and its sole activity is the possession of the 50% of the share capital of NU3 NV Company. NU3 NV deals with specific fertilizers, and specifically produces solvent water and water soluble fertilizers.
