Notification of concentration between the companies Haggar Cigarette & Tobacco Factory Ltd and Japan Tobacco Inc.

The Service of the Commission for the Protection of Competition received on behalf of the company Japan Tobacco Inc., notification of a proposed concentration according to Article 13 of the Control of Concentrations between Enterprises Law (Number 22(I)/99), concerning the acquisition of the share capital of Haggar Cigarette & Tobacco Factory Ltd by two subsidiaries of Japan Tobacco Inc, namely LORAS Holding BV and JT International Holdings BV.

LORAS Holding BV is a private limited liability company, duly registered in accordance with the laws of the Netherlands. This company is a subsidiary of JT International Holdings BV. JT International Holdings BV is also a private limited liability company duly registered in accordance with the laws of the Netherlands, which belongs to the company, Japan Tobacco Inc.

Japan Tobacco Inc. is a public company; 50% of its share capital is owned by the State of Japan, while the remaining shares are listed in the five stock exchanges in Japan. The Group of companies of Japan Tobacco Inc. is active in the field of tobacco, drugs and food. The Group's activities in the field of tobacco include the production and sale of machine made cigarettes and other tobacco products in the Japanese market, where it has the exclusive rights for the production of tobacco products. In addition, the group is responsible for the sale and distribution of tobacco products in the Chinese market. The Group Japan Tobacco Inc sells tobacco products in over 120 countries, including Cyprus.

Haggar Cigarette & Tobacco Factory Ltd is a company duly registered in accordance with the laws of Sudan. The company manufactures imports and sells tobacco products only in the Sudan.
