The Service of the Commission for the Protection of Competition has received notification of a concentration, pursuant to Section 10 of the Control of Concentrations between Enterprises Law of 2014, concerning the proposed acquisition by Proximus A.A./N.V., of part of the share capital of Route Mobile Ltd, via Proximus Opal S.A./N.V..
Proximus S.A./N.V. (“Proximus”), is a public law limited liability company duly registered under the laws of Belgium, listed on the Brussels Stock Exchange. Proximus, which is the parent company of the Proximus Group, is the traditional telecommunications operator in Belgium. The group is active in a full range of electronic communications services providing wholesale and retail services, fixed and mobile telecommunications, voice and data services, mainly on a national level within Belgium.
Proximus Opal (“Proximus Opal”) is a public limited liability company under the laws of Belgium, operating as a liquidator or director of and undertakes public or private holdings in Belgian, foreign or international institutions, companies, enterprises and/or associations having the same, similar or related objects or in which Proximus participates directly or indirectly. Proximus Opal belongs to the Proximus Group.
The Target is Route Mobile Limited (“Route Mobile”), a company duly registered under the laws of India and headquartered in Mumbai. The company is listed on the Indian bourses BSE Limited and National Stock Exchange of India and has a global presence spread across Asia Pacific, Middle East, Africa, Europe, and the Americas. Route Mobile offers omnichannel communication solutions to its customers, including notably automated SMS or WhatsApp notifications for order updates, appointment reminders and promotions, as well as voice-based and email solutions. Route Mobile also offers artificial intelligence (AI) based firewall analytics solutions to mobile network operators across the globe. Route Mobile is active worldwide through its subsidiaries.
