The Service of the Commission for the Protection of Competition has received a notification of a concentration, according to Section 10 of the Control of Concentrations between Enterprises Law of 2014, concerning the acquisition of the share capital of AdColony Holding AS by Digital Turbine, Inc. via Digital Turbine Media, Inc.
Digital Turbine, Inc. (hereinafter “Digital Turbine”) is a public company duly registered under the laws of the United States of America and is listed on the Nasdaq Stock Exchange. The company delivers a mobile services platform that works with mobile operators and third-party publishers to provide portal management user interface, content development and billing technology. Digital Turbine conducts its activities as an on-device media platform which is limited to download of apps during the activation of the mobile and does not have any involvement regarding placement of advertisement after the app is installed into the mobile. The company has two organic business units, Application Media and Content Media.
Digital Turbine Media, Inc. (hereinafter “DT Media”) is a company duly registered under the laws of the United States of America and constitutes a wholly owned subsidiary of Digital Turbine. The company participates in the Application Media business unit, where Digital Turbine’s platform delivers apps to end users through partnerships with carrier networks and original equipment manufacturers (OEMs). DT Media contracts with the advertisers and supplies these advertising units programatically to the carrier network and OEMs via the Ignite Platform. The Ignite software is installed on the mobile devices during the manufacturing process or through software updates from the operators and OEMs.
The Target Company in the concentration is AdColony Holding AS (hereinafter “AdColony”), a private limited liability company duly registered under the laws of the Kingdom of Norway. AdColony is active in providing mobile advertising network services to advertisers and to publishers of smartphone and tablet applications. Specifically, the company provides a platform on which advertisers can place high-quality, full-screen video ads within mobile application environments.
