Notification of concentration between Yachts Partecipation S.r.l. and Mediobanca – Banca di Credito Finanziario S.p.A. to get control of Ferretti S.p.A through a newly incorporated company, Ferretti Holding’s S.p.A.

The Service of the Commission for the Protection of Competition received on behalf of the companies Yachts Partecipation S.r.l. and Mediobanca – Banca di Credito Finanziario S.p.A., notification of a proposed concentration according to Article 13 of the Control of Concentration between Enterprises Law (Number 22(I)/99), concerning an agreement by which Yachts Partecipation S.r.l. and Mediobanca – Banca di Credito Finanziario S.p.A. will get full control of Ferretti S.p.A., through the company Ferretti Holding’s S.p.A., a newly incorporated company which they hold 80.9% and 19.1% of its share capital respectively, that will then buy the 100% of the share capital of Ferretti S.p.A.

Yachts Partecipation S.r.l.” was founded by some of the managers of the target company Ferretti S.p.A. and by others entities related to that company, with the purpose of investing in the share capital of Ferretti S.p.A.

“Mediobanca – Banca di Credito Finanziario S.p.A.” is an Italian investment bank, which holds minority rights in a number of industrial companies as well as in private share capital, and operates in various sectors, such as the lending sector, but also offers advisory services to corporate customers.

“Ferretti Holding’s S.p.A.”, a newly incorporated company which was created by Yachts Partecipation S.r.l. and Mediobanca – Banca di Credito Finanziario S.p.A., with the sole purpose of obtaining the 100% of the share capital of Ferretti S.p.A. from Sestante 2 S.a.r.l., the only shareholder of Ferretti S.p.A., as part of the proposed investment.

“Ferretti S.p.A”, a company created in accordance with the law of Italy, is a subsidiary company of the “Ferretti Group”, which operates mainly in the sector of designing, constructing and marketing of luxury motor-yachts.
