The Service of the Commission for the Protection of Competition has received a notification of a concentration concerning the proposed acquisition of the share capital of VGP Holdings LLC (international product company division of Valvoline Inc.) by Saudi Arabian Oil Company, via Aramco Overseas Company B.V..
Aramco Overseas Company B. V. (hereinafter referred to as "AOC") is a private limited liability company duly registered in accordance with the laws of Netherlands. AOC operates by providing its affiliated entities with a wide range of services, including financial support services, supply chain management, technical support services and a variety of administrative support services.
Saudi Arabian Oil Company is a joint stock company, duly registered in accordance with the laws of Saudi Arabia. Saudi Aramco is primarily engaged in the exploration, exploration, drilling and extraction of hydrocarbon substances and the processing, production, refining and marketing of these substances.
The target in this act is VGP Holdings LLC, a limited liability company duly registered under the laws of Delaware, United States. VGP Holdings LLC has no business other than to become the holding company of the international products business of Valvoline Inc. The business division of the global products of Valvoline Inc., sells preventive maintenance products for engines and cars, under the name Valvoline, other brands and private labels, to retailers of the mass market and car parts, installers and commercial customers, including distributors and licensees, as well as to original equipment manufacturers (OEMs).
