Notification of concentration regarding the acquisition by Brussels Airlines NV of assets which belong to Thomas Cook Airlines Belgium N.V.

The Commission for the Protection of Competition received a notification of a proposed concentration, concerning the acquisition by Brussels Airlines NV of assets which belong to Thomas Cook Airlines Belgium N.V..

Brussels Airlines NV is an airline company duly registered under the laws of Belgium, based at Brussels Airport. This company is a member of the Lufthansa Group and apart from air passenger operations, Brussels Airlines NV also offers cargo on all its flights. Brussels Airlines NV also offers the possibility for chartered flights for travel agents, sports clubs, cinematographers, etc.

The target in this concentration is some assets which belong to Thomas Cook Airlines Belgium N.V., which is a holiday airline company, duly registered under the laws of Belgium and a member of the Thomas Cook Group. These assets concern (a) take-off and landing slots at Zaventem airport in Brussels and other international airports which are required for the provision of air passenger services on 33 departure and destination routes; (b) the goodwill that is associated with the flights used by these slots (c) the leasing of 2 A-320 aircrafts and (d) Thomas Cook Airlines Belgium NV rights in relation to the employment of crew members who are required to operate passenger air services on these slots.
