Booking Holdings Inc. is active in providing online travel and related services. Unicorn Subsidiary Inc. is a special purpose vehicle which had no previous activities and which was established to act as acquiring company for the purposes of this transaction. Unicorn Subsidiary Inc. is a subsidiary of Booking Holdings Inc. through which the acquisition will take place and then merge with Target, with Getaroom, Inc. surviving as an entire subsidiary of Booking Holdings.
The Target (Getaroom, Inc.) is a company duly registered under the laws of the U.S. State of Delaware and active in the online travel industry (it is a focused B2B hotel availability distributor). In addition, the Target offers online hotel bookings directly to consumers through the OTA website, Getaroom.com.
