COMMISSION FOR THE PROTECTION OF COMPETITION

The Service of the Commission for the Protection of Competition has received a notification of a concentration according to Section 10(4) of the Control of Concentrations between Enterprises Law of 2014, concerning the proposed acquisition of share capital of Priority Software Solutions Ltd by Blackstone Inc, via Paris Holdings (CYM) ǁ L.P.

Paris Holdings (CYM) ǁ L.P. is an Exempted Limited Partnership organized under the laws of the Cayman Islands. Paris is a special purpose vehicle with no prior business activities established for the purposes of the Transaction.

Blackstone Inc. is a global Alternative Asset Manager registered under the laws of the United States of America. Blackstone operates as an investment management company, not as a conglomerate or holding company.

Priority Software Solutions Ltd is a company duly registered under the laws of Israel. The Target is a company that provides SaaS (Software as a Service) in the Enterprise Software Space. It also provides integrated Enterprise Resource Planning (ERP) software, business software solutions and advanced business management software.
