Notification of a concentration concerning the acquisition by CVC Capital Partners SICAV-FIS S.A. of part of the share capital of SI Foods Holdings Ltd, via Vivartia Holdings Single-Member Societe Anonyme

The Service of the Commission for the Protection of Competition has received a notification of a concentration concerning the proposed acquisition of part of the share capital of SI Foods Holdings Ltd by CVC Capital Partners SICAV-FIS S.A., via Vivartia Holdings Single-Member Societe Anonyme.

CVC, together with its subsidiaries and CVC Capital Partners Advisory Group Holding Foundation and its subsidiaries, form the "CVC Network". The activities of the CVC Network include the provision of investment advice and/or investment management on behalf of certain funds and investment platforms.

Vivartia Holdings Single-Member Societe Anonyme is a holding company duly registered under the laws of the Hellenic Republic and controlled by CVC funds. Vivartia provides consulting and management services to the companies of its Group. The main activities of the Vivartia Group are (i) the production and distribution of dairy products, such as milk and yoghurt and fruit juices, (ii) fast food restaurants and café-pastry shops, and (iii) the production and distribution of frozen foods such as vegetables, ready-made recipes/meals, salads and frozen dough products.

SI Foods Holdings Ltd is a company, duly registered under the laws of the Republic of Cyprus. The Target controls the company DODONI S.A. - AGRICULTURAL DAIRY INDUSTRY OF EPIRUS. This company is engaged in the production of dairy products, the activity of which mainly concerns cheese and yogurt products. The company produces and markets feta and other soft cheeses, semi-hard cheeses, hard cheeses, grated cheeses, yogurt and butter, as well as fresh pasteurized milk and chocolate milk.
