P8 Holding 1 S.à r.l. (hereinafter referred to as 'TopCo') is a limited liability company duly registered in accordance with the laws of Luxembourg. TopCo is a special purpose vehicle, with no activities, wholly controlled by PEP VIII International Ltd. In this Transaction TopCo will act as the buyer of the share capital of Makto S.à r.l..
