Spark Topco Inc. and Spark Acquisition Sub Inc. are special purpose companies which were established to act as buyers for the purposes of this merger and which did not have any previous activities. These companies are indirectly owned by The Blackstone Group Inc.
The target in this merger is Diamondback Acquisition, Inc., a leading company duly registered under the laws of Delaware of the United States of America. The Target, through its subsidiaries, is active in the provision of integrated risk management software and related information services with emphasis as a provider of integrated risk management software and related information services with a focus on Environmental, Social, and Corporate Governance ("ESG"), Performance and Operational Risk, und Product Stewardship.
