The Service of the Commission for the Protection of Competition has received a notification of a concentration, according to Section 10 of the Control of Concentrations between Enterprises Law of 2014, concerning the acquisition of joint control of Razer Inc. by CVC Capital Partners SICAV-FIS S.A., via Sidewinder Holdings Limited, and Mr. Min-Liang Tan and Mr. Lim Kaling.
Sidewinder Holdings Limited, a company duly registered under the laws of Jersey, is a special purpose vehicle that did not have any activities in the past and set up for the purposes of the notified concentration and is controlled by CVC Capital Partners SICAV-FIS S.A..
CVC Capital Partners SICAV-FIS S.A., is a company duly registered under the laws of Luxembourg. The company, together with its subsidiaries and affiliated companies constitute the “CVC Network”. Their activities pertain to the provision of investment advice and/or investment management on behalf of certain investment funds and platforms (“the CVC Funds”), including CVC Fund VII. CVC Funds hold investments in companies active in a range of fields, including chemicals, common utility services, processing, retail and distribution.
The physical persons are the founders of Razer Inc. and one of them is currently the CEO and Chairman of the Board of Razer and the other a non-executive Director of Razer.
Razer is a private company, duly registered under the laws of Cayman Islands with headquarters in Irvine (California) and regional headquarters in Hamburg, Shanghai and Singapore. The target is also listed on the Hong Kong Stock Exchange. Razer Inc. is active in design, distribution, research and development of gaming peripherals systems, software and services etc. The target consists of three departments: the software department, the hardware department and the services department.
