The Service of the Commission for the Protection of Competition has received a notification of a concentration, according to Section 10 of the Control of Concentrations between Enterprises Law of 2014, concerning the acquisition by NMT Holding B.V. (hereinafter “NMT”) of the share capital of Hansen Shipping Agency Inc, Hansen Shipping UK Limited and Bevo Speditions GmbH and part of the share capital of Hansen Specialized Transportation LLC (hereinafter jointly referred to as the “Target Companies”).
NMT is a private limited liability company duly registered under the laws of the Netherlands. NMT constitutes a group of companies that is jointly controlled by Stena Logistics Holding A.B. (hereinafter «Stena») and Fridi B.V. (hereinafter «Fridi»).
NMT is as an independent, international Roll on / Roll off (RoRo) freight forwarder and logistics provider, specialized in the worldwide shipment of cars, trucks, trailers and other self-propelled or rolling cargo on PCC/PCTC vessels mainly in deep sea routes. NMT does not operate or own vessels (i.e. it is not a carrier) and instead books/charters space on vessels operated by third-party carriers, which it then sells to customers as part of its sea freight forwarding services. The freight forwarding service provided by NMT may also include ancillary services, such as customs clearance, warehousing and ground services, and the land transportation to/from the relevant ports.
Stena is a private limited liability company duly registered under the laws of Sweden and constitutes a holding company. The company is owned by Stena Rederi AB, a subsidiary of Stena AB, one of the three parent companies of the Stena Sphere group, the other two being Stena Metall AB and Stena Sessan AB. Stena AB has global operations in six business areas: Ferry Operations, Offshore Drilling, Shipping, Property, Finance and New Businesses.
Fridi is a company duly registered under the laws of the Netherlands and is active in the financial holdings sector.
Hansen Shipping Agency Inc. (hereinafter “HSA”), is a company duly registered under the laws of the United States of America. The company is a shipping forwarder of heavy machinery, with a focus on construction and mining equipment. HSA manages port-to-port shipments for all types of rolling cargo such as wheel loaders, excavators and dump trucks that will usually be shipped on RoRo (Roll-on/Roll-off) vessels, but also handles static/break-bulk/project cargoes using its network of carriers and vessel owners to find a suitable solution whether it be a container, conventional or Ro-Ro. HSA simultaneously offers ancillary services such as dismantling, cleaning, customs clearance, transport insurance and consular services.
Hansen Shipping UK Limited (hereinafter “HS”) is a limited liability company duly registered under the laws of the United Kingdom. HS is a shipping forwarder of heavy machinery, with a focus on construction and mining equipment and provides similar freight forwarding and ancillary services to HSA.
Bevo Speditions GmbH (hereinafter “Bevo”) is a limited liability company duly registered under the laws of Germany. Bevo is a shipping forwarder of heavy machinery, with a focus on construction and mining equipment, while providing any necessary ancillary services.
Hansen Specialized Transportation LLC (hereinafter “HST”) is a limited liability company, duly registered under the laws of the United States of America. HST provides land transport services with a focus on construction and mining equipment.
The Target Companies do not own Ro/Ro or other types of vessels for the freight forwarding services they provide, although in some occasions they charter/book space in vessels of third-party carriers to carry out their freight forwarding business.
