The Service of the Commission for the Protection of Competition has received a notification of a concentration, according to Section 10 (4) of the Control of Concentrations between Enterprises Law of 2014, concerning the creation of joint venture, Bidigital nalozbe d.o.o., by Adventura holding d.d. and Publius S.a.r.l. for the acquisition of Big Bang d.o.o.
Adventura holding d.d. is a company duly registered under the laws of Slovenia which invests in majority stakes in prospective companies which it wants to restructure, expand their business and take them into the future.
Publius S.a.r.l. is a company duly registered under the laws of Luxembourg and was established for the purposes of the acquisition of shares in Big Bang d.o.o. via Bidigital nalozbe d.o.o. and for the management of investments in Slovenia. Publius is a company controlled by York Capital Management Global Advisors LLC, a global investment fund.
Bidigital nalozbe d.o.o. is a special purpose vehicle duly registered under the laws of Slovenia which belongs to Adventura and Publius. Publius and Adventura intend to use the special purpose vehicle to own and manage Big Bang d.o.o..
Big Bang d.o.o. is a company duly registered under the laws of Slovenia and its main activities are in retail and wholesale of goods and services in retail shops in Slovenia and in bigbang.si. website, which are relevant with the categories of consumer electronics and household appliances, innovative products of electricity and energy efficiency products as well as services delivery, entry, disposal of goods, installation and connection of products, sale of events, consultancy with respect to products being sold, distance customer support, insurance of products for accidental damage and additional protection.
