The Service of the Commission for the Protection of Competition on the 3rd of March 2011 received on behalf of the company Danone Holdings (UK), notification of a proposed concentration according to Article 13 of the Control of Concentrations between Enterprises Law (Number 22(I)/99), concerning an “Agreement for the Sale and Purchase of Shares relating to Complan Foods Limited”. With the completion of the Agreement, Complan Foods Ltd will be wholly owned by Danone Holdings (UK).
Danone Holdings (UK) is an intermediate holding company and a subsidiary of Danone S.A.. Danone S.A. is an international manufacturer of food and beverage products and is active in four lines of business: (a) Fresh dairy products, (b) Water, (c) Baby nutrition and (d) Medical nutrition.
Complan Foods Ltd holds the intellectual property rights in relation to a range of nutritional supplements. Specifically, Complan Foods Ltd supplies three nutritional supplement products: (a) the fortified dietary supplement in powder form “Complan”, (b) the protein supplement in powder form derived from milk “Casilan” and (c) “Complan Shake” that is a prescription nutritional food supplement.
