Notification of a concentration concerning the acquisition of the share capital of Simon & Schuster, Inc. and Simon & Schuster (UK) Ltd by Bertelsmann SE & Co. KGaA, via Penguin Random House LLC

The Service of the Commission for the Protection of Competition has received from Bertelsmann SE & Co. KGaA a notification of a concentration, according to Section 10 of the Control of Concentrations between Enterprises Law of 2014, concerning the acquisition of the share capital of Simon & Schuster, Inc. and Simon & Schuster (UK) Ltd, Penguin Random House LLC.

Bertelsmann SE & Co. KGaA is a private limited liability company, duly registered in accordance with the laws of Germany. This company is the parent company of the Bertelsmann group, an international media group active in the production and transmission of radio and television broadcasts, commercial publications, magazine publications, music rights management, service provision and education.

Penguin is a company duly registered in accordance with the laws of the United States of America. This company is owned by Bertelsmann and is the publishing division of the group. After the proposed concentration is implemented, S&S will be part of Penguin Random House LLC.

Simon & Schuster Inc. is a company duly registered in accordance with the Laws of the United States of America. Simon & Schuster (UK) Limited is a company duly registered in accordance with the Laws of the United Kingdom. The Target Enterprise is a publisher of medium-sized trade books that publishes, sells and distributes printed books, e-books and audiobooks mainly in the US. S&S's limited activities outside the US consist mainly of publishing and distributing English-language books (and some Spanish-language books) primarily in English-speaking countries such as the UK and Australia. S&S also makes occasional book sales to non-English speaking countries.
